Iraq is one of the most complex operating environments in the world for an outward-facing entrepreneur. The Iraqi dinar is not freely convertible on the open market at the parallel rate; the CBI dollar window is tightly rationed; and a private Iraqi bank account draws heavy correspondent-banking scrutiny abroad — even when the underlying activity is entirely legitimate.
A UK Limited Company does not solve Iraqi tax, and it does not remove sanctions screening. What it does do is give an Iraqi founder something concrete: a publicly registered UK entity, English-law contracting standing, and USD/EUR/GBP accounts held outside the Iraqi banking corridor — via Wise Business, Payoneer or Airwallex — so international clients can pay without invoking the CBI at all.

Iraqi and Kurdistan-based specialists working with international majors — BP, ExxonMobil, TotalEnergies, DNO, Genel — increasingly need a non-Iraqi contracting entity for master service agreements, insurance and payment logistics. A UK Ltd is the standard vehicle recognised by tier-one procurement.
Erbil's tech scene (Five One Labs, KRG innovation zones) and Baghdad developers on Upwork, Toptal and Deel need a way to receive USD, EUR and GBP cleanly. Their clients rarely open a payment channel to an Iraqi bank.
Traders operating through Habur, Dubai or Amman use a UK Ltd as a documentary counterparty for letters of credit, insurance and shipping paperwork — banks in the corridor accept UK LLP/Ltd invoices without renegotiating the file.
Iraqi consultants delivering to UNDP, IOM, UNHCR, GIZ and USAID prime contractors are almost always required to invoice as a legal entity — not a personal account — with a bank in a mainstream jurisdiction.
Founders based in the UK, Sweden, Germany, Jordan and the UAE who run an activity connected to Iraq — logistics, trading, media, tech — use a UK Ltd as a clean, politically neutral vehicle to hold contracts and receive payments.
Can an Iraqi resident form and control a UK Ltd?
An Iraqi resident — federal or Kurdistan — can form, wholly own and direct a UK Limited Company. The UK Companies Act 2006 imposes no nationality, residence or immigration barrier. Iraq is not under UK financial sanctions that block ordinary company formation.
The real question is not "can I hold a UK Ltd?" — it's "how do I capitalise it, how do I get paid, and how does my Iraqi accountant record this?" We answer those directly in the FAQ.
Six practical items — and nothing else from you.
Biometric Iraqi passport (green or the newer electronic passport). Both federal Iraq and Kurdistan Regional Government passports are accepted — they are the same document under international law. Civil ID (البطاقة الوطنية / ناسنامە) alone is not sufficient for Companies House ID verification.
Utility bill (electricity, water, internet — Asiacell, Zain, Korek, IQ, EarthLink), residential lease, or a bank statement from a licensed Iraqi bank (Rasheed, Rafidain, TBI, BBAC, Bank of Baghdad, Cihan Bank, RT Bank), dated within the last 3 months and showing your name and address.
You can be both. No UK residency requirement. No CBI (Central Bank of Iraq) authorisation is needed simply to be a director or shareholder of a foreign company.

For an Iraqi passport holder, the realistic pipeline is fintech first: Wise Business, Payoneer and Airwallex are the primary route. UK high-street banks (Barclays, HSBC, Lloyds) will very rarely onboard an Iraq-resident director at day one — we prepare a file that gives you a fair hearing, but we do not promise approval.

The realistic sequence is fintech first (Wise Business or Payoneer for genuine GBP/EUR/USD account details in the UK Ltd's name), then Airwallex or Revolut Business for multi-currency depth, then eventually a UK high-street bank once trading history is visible on statements.

The UK Ltd pays UK CT on worldwide profits — 19% up to £50,000, 25% main rate with marginal relief. Annual accounts to Companies House, CT600 to HMRC.
UK VAT registration required over £90,000 of UK-taxable turnover on a rolling 12-month basis. Most Iraqi service exporters to non-UK clients stay well below this.
No UK withholding tax on dividends to non-resident shareholders. There is no UK–Iraq double tax treaty in force, so any Iraqi tax on those receipts is determined unilaterally under Iraqi domestic law — confirm with your Iraqi accountant.
Iraq operates a territorial-leaning system but personal salary and dividends received abroad by an Iraqi tax resident can create reporting duties. Companies House is a fully public register — transparency is the default.

Can an Iraqi resident really own and run a UK Limited Company?+
Yes. The UK Companies Act 2006 places no restriction on nationality, residence or immigration status for directors, shareholders or PSCs. Residents of Baghdad, Erbil, Basra, Sulaymaniyah, Duhok, Mosul and Kirkuk can incorporate and control a UK Ltd 100% from Iraq. Iraq is not currently subject to UK financial sanctions that would block ordinary company formation.
Do I need permission from the Central Bank of Iraq (CBI)?+
No CBI permission is required simply to become a director or shareholder of a foreign entity. However, transferring capital in Iraqi dinars out of Iraq to fund the UK Ltd is subject to Iraq's foreign-exchange rules and the CBI's dollar auction/window framework. In practice, almost all our Iraqi clients capitalise the UK Ltd through revenue earned abroad, not through outbound wires from Iraq.
Is the process different for Kurdistan Region (KRG) residents?+
For UK Companies House, no — a KRG-issued Iraqi passport carries the same standing as one issued by the federal authority. For banking, some EMIs pay attention to your registered residential city (Erbil and Sulaymaniyah are treated slightly more favourably than Basra or Anbar in some risk models, though this varies).
Will Wise, Payoneer or Revolut open a business account for an Iraq-resident director?+
Sometimes yes, sometimes no — and the outcome depends heavily on the quality of the file. Wise Business and Payoneer are the most realistic starting points. Revolut Business is more selective for Iraq-resident directors. No one — us or anyone else — can guarantee approval. Any provider claiming a 'guaranteed UK account for Iraqis' should be treated with strong scepticism.
How does sanctions screening actually affect me?+
Every UK bank and EMI runs your name, passport number and PSC data against OFSI (UK sanctions), OFAC (US), UN and EU lists. Ordinary Iraqi and Kurdish names pass without issue. Problems arise from adverse media, PEP flags, or being related to a sanctioned person — not from Iraqi nationality itself. We pre-screen your file before submission so surprises don't surface at the bank's underwriter.
Can I invoice international oil-services clients from a UK Ltd while living in Basra or Erbil?+
Yes — this is one of the most common use cases. The UK Ltd is your contracting counterparty; the MSA, PO and invoices are issued in the UK entity's name. Your personal tax residence stays in Iraq and is a separate matter with your local accountant.
How is a UK Ltd taxed vs. an Iraqi company?+
The UK Ltd pays UK Corporation Tax on its worldwide profits (19% up to £50,000, 25% main rate with marginal relief). Iraq's federal corporate income tax is 15% (35% for oil & gas), and the KRG applies its own regime. The two systems do not merge — the UK Ltd files in the UK; your personal Iraqi tax position on any salary or dividends you draw is a separate discussion with your Iraqi accountant. There is no UK–Iraq double tax treaty in force, so unilateral relief rules apply.
Do I need to travel to the UK?+
No. Formation, ID verification, banking preparation and ongoing filings are all handled remotely from Iraq. None of our Iraqi clients have needed to fly to London to open or operate their company.
How long does the whole process take?+
Order to registered UK company: typically 1–3 UK working days once ID verification is complete. Fintech account (Wise / Payoneer) for an Iraq-resident director: usually 7–21 working days depending on the file. No responsible advisor will promise a fixed banking timeline for Iraq.
Can I use a UK Ltd to hold contracts with UN agencies or NGO primes?+
Yes, and it is often required. UN vendor onboarding (UNGM) accepts UK-registered entities. Prime contractors (Chemonics, DAI, Palladium, Adam Smith International, GIZ) frequently require a UK or EU counterparty rather than an Iraqi one for compliance reasons.
What about payments in USD when the CBI dollar window is tight?+
The UK Ltd receives USD directly into its Wise, Payoneer or Airwallex USD wallet — this bypasses the CBI dollar auction entirely because the money never enters Iraq's banking system. You only bring dinars into Iraq when you personally need to spend locally, and at that point standard remittance channels apply.
