What is VAT?

Understanding Value Added Tax.

VAT means Value Added Tax.

It is a tax charged on many goods and services supplied by VAT-registered businesses in the United Kingdom.

A VAT-registered business may need to:

  • Charge VAT on taxable sales
  • Issue VAT-compliant invoices
  • Maintain appropriate VAT records
  • Submit VAT returns
  • Pay VAT due to HMRC
  • Reclaim eligible VAT paid on business purchases
  • Follow applicable Making Tax Digital requirements

VAT registration creates ongoing responsibilities. It should therefore be approached as a compliance decision, not simply as a way to obtain a VAT number.

Compulsory registration

When must a business register?

A business will generally need to register for VAT when its total VAT-taxable turnover exceeds £90,000 over a rolling 12-month period.

It may also need to register where it expects its VAT-taxable turnover to exceed £90,000 within the next 30 days.

VAT-taxable turnover generally includes supplies that are:

  • Standard-rated
  • Reduced-rated
  • Zero-rated

It does not normally include exempt supplies.

The threshold is not based only on the company’s accounting year. Businesses should monitor taxable turnover on a rolling 12-month basis.

Overseas businesses

VAT registration for non-UK businesses.

Different rules can apply where a business is not established in the United Kingdom.

A non-established taxable person may need to register from the point it makes taxable supplies in the UK, without benefiting from the standard registration threshold.

The correct treatment can depend on:

  • Where the business is established
  • Where goods are located
  • Where services are supplied
  • Whether customers are businesses or consumers
  • Whether goods are sold through an online marketplace
  • Whether the company imports goods into the UK
  • Whether a reverse-charge mechanism applies
  • Whether the business has a fixed establishment in the UK

Where specialist tax interpretation is required, the client may need advice from a qualified accountant or tax adviser.

Voluntary registration

Can a business register below the threshold?

A business below the compulsory threshold may be able to register voluntarily where it is carrying on, or genuinely preparing to carry on, a taxable business activity.

Voluntary registration may be considered where the company:

  • Supplies VAT-registered business customers
  • Incurs VAT on legitimate business expenses
  • Expects turnover to increase
  • Wants to establish VAT processes before reaching the threshold
  • Needs registration for genuine commercial reasons
  • Is preparing to make taxable supplies

Voluntary registration is not automatically beneficial.

Once registered, the business becomes responsible for VAT invoicing, record keeping, returns and payment obligations.

A company should understand the commercial and administrative implications before proceeding.

Application preparation

Why VAT applications may be reviewed.

HMRC may examine whether the application reflects a genuine business or genuine intention to trade.

An application may be delayed where the information is incomplete, inconsistent or unsupported.

UK Company Experts helps clients organise the information so that the application presents a clear and coherent commercial picture.

What HMRC may consider
  • Nature of the business
  • Products or services supplied
  • Expected taxable turnover
  • Customer profile
  • Supplier relationships
  • Contracts, invoices, purchase orders
  • Business website
  • Business bank account
  • Director details
  • Source of business funds
  • Trading evidence
  • Commercial premises or operating arrangements
  • Reason for voluntary registration
Our process

How the process works.

A structured, advisor-led process from initial assessment through to registration outcome:

  • Step 1 — Initial assessment of company status, activities, location, expected turnover and reason for registration
  • Step 2 — Information checklist covering the documents likely to be needed
  • Step 3 — Consistency review against Companies House, website, business description and commercial evidence
  • Step 4 — Application preparation, organising the information required for the VAT registration
  • Step 5 — Submission support via the appropriate HMRC registration route (online or paper)
  • Step 6 — Follow-up support where HMRC asks reasonable questions relating to the original application
  • Step 7 — Registration outcome, effective date and processing time determined by HMRC
