UK Corporation Tax

The UK Ltd pays Corporation Tax on its worldwide profits (19% small profits rate rising to 25% at the main rate). Annual accounts filed with Companies House and CT600 with HMRC.

UK VAT & UK EORI

UK VAT mandatory above £90,000 UK taxable turnover (rolling 12 months). UK EORI required for cross-border goods. Dutch BTW and OSS rules continue to apply to your NL supplies separately.

Dividends to a Dutch shareholder

No UK withholding tax on dividends to non-residents. In NL, dividends on a 5%+ shareholding are typically taxed in Box 2 (aanmerkelijk belang); smaller stakes fall under Box 3. Your belastingadviseur confirms exact treatment.

Dutch-side reporting

Dutch residents must generally declare foreign shareholdings in their aangifte inkomstenbelasting. Directors and controlling shareholders should assume disclosure applies.

Can I register a UK Limited Company while living in the Netherlands?+

Yes. The UK Companies Act 2006 imposes no residency or nationality requirement on directors, shareholders or PSCs. A Dutch resident with a valid passport can incorporate a UK Ltd, own 100% of the shares and act as sole bestuurder from Nederland.

Is a UK Ltd a serious alternative to a Dutch BV?+

For international and digital businesses — yes. The Ltd removes the notarial deed, has no meaningful capital requirement and files in under a day. For a Dutch-domiciled trading business with staff and premises in NL — or one specifically designed to use the participation exemption (deelnemingsvrijstelling) — a BV usually remains the better structure. We are honest about which is right.

After Brexit, does a UK Ltd still work well from the Netherlands?+

Yes. Brexit changed the EU-law backdrop but not the practical reality — a UK Ltd remains a fully valid English legal entity, and the Netherlands recognises foreign companies routinely. What Brexit did add is customs and VAT friction for goods trade between NL and the UK. For services, SaaS and consulting businesses, the impact is minimal.

What is vaste inrichting and does it apply to my UK Ltd?+

Vaste inrichting (permanent establishment) is the Dutch equivalent of the German Betriebsstätte. If your UK Ltd has a fixed place of business in the Netherlands — office, staff, warehouse — the Dutch Belastingdienst may consider that PE taxable in NL under the UK–Netherlands tax treaty. A director working occasionally from their Dutch home is a grey area; a dedicated Dutch office is usually a clear PE. Your belastingadviseur must confirm your position.

Do I need to travel to the UK?+

No. Incorporation, Companies House identity verification, banking preparation and compliance are fully remote from the Netherlands. Wise Business, Revolut Business, Airwallex and bunq typically onboard Dutch directors without any UK visit.

Which banking works best for a Dutch-resident UK Ltd?+

The reliable stack for most Dutch founders is: Wise Business or Revolut Business as primary GBP/EUR account with SEPA-native euro IBAN; Airwallex for USD and multi-currency; optionally a UK high-street account once trading is visible. Many Dutch clients also keep bunq for personal reasons — but bunq's business proposition varies by profile.

Do I still need a KvK number?+

Only if the UK Ltd genuinely operates in the Netherlands — i.e., it has a vaste inrichting there. If the Ltd is managed from NL but its actual trading operations, clients and delivery are elsewhere, a KvK registration may not be required. This is exactly the question your Dutch tax adviser must confirm on paper before you start invoicing.

Do I need a UK VAT number?+

Compulsory once UK taxable turnover exceeds £90,000 in a rolling 12-month period. Voluntary registration is common for B2B exporters and Amazon.co.uk sellers. Dutch VAT (BTW) rules continue to apply separately to the extent you make Dutch or EU supplies from your NL operations.

Do I need a UK EORI number?+

Yes if the UK Ltd imports goods into, or exports goods out of, the UK. Post-Brexit, UK–NL shipments require both a UK EORI (for the UK entity) and an EU EORI (for the receiving side). We handle the UK EORI as a separate service.

How are UK dividends taxed for a Dutch shareholder?+

The UK does not levy withholding tax on dividends paid to non-resident shareholders. In the Netherlands, dividends received by a natural person on a 5%+ shareholding in a UK Ltd are typically taxed under Box 2 (aanmerkelijk belang), with rates adjusted periodically. Smaller holdings may fall under Box 3. Your Nederlandse belastingadviseur confirms your exact treatment.

Can a UK Ltd hold participations under the Dutch participation exemption?+

Not directly. The deelnemingsvrijstelling is a Dutch tax mechanism that generally applies to Dutch holding entities (typically a BV or NV). If your objective is participation-based structuring, the BV is usually correct. If your objective is international operational business, the UK Ltd is often a cleaner fit. In some groups, both coexist.

Can I appoint myself as sole director and shareholder?+

Yes. This is the most common structure we set up for Dutch founders: one Dutch-resident individual as sole director, sole shareholder and sole PSC of the UK Ltd. Additional directors or corporate shareholders can be added later.

How long does it take from the Netherlands?+
