A UK Limited Company is not a tax trick and not a way around CBE rules. It is a fully public, English-law entity — filed at Companies House, taxable on its profits in the UK, and searchable by anyone in the world. What it gives an Egyptian founder is something specific: a credible international counterparty for foreign clients, GBP/USD/EUR receiving accounts in the company's name via Payoneer, Wise and Revolut Business, and a clean legal separation between international revenue and your Egyptian operating footprint.

Three questions your Egyptian accountant will raise
  • 1.Permanent establishment in Egypt — if the UK Ltd effectively operates from an Egyptian office with Egyptian staff, ETA may treat the activity as taxable in Egypt regardless of the UK registration.
  • 2.Personal income declarations — dividends and salary drawn by an Egyptian tax resident are broadly declarable on their Egyptian personal tax return.
  • 3.ETA e-invoicing — invoices issued by an Egyptian LLC you also own must still comply with the ETA electronic invoicing system. Invoices issued by the UK Ltd from the UK to foreign clients are outside that scope.

None of these make a UK Ltd wrong — they just need to be documented before you start operating.

Banking & payments for Egyptian directors

Payoneer, Wise Business and Revolut first — high-street later.

Realistically, an Egypt-resident director will onboard with a fintech stack before a UK high-street bank. Payoneer has one of its largest global user bases in Egypt and is comfortable with Egyptian directors. Wise Business and Revolut Business both provide GBP, EUR and USD account details in the UK Ltd's name — the same details clients like Toptal, Upwork, Deel and Fiverr already accept.

Tax overview

UK obligations — and where Egyptian tax begins.

UK Corporation Tax

The UK Ltd pays UK Corporation Tax on its worldwide profits (19% small profits rate up to £50k, 25% main rate with marginal relief). Annual accounts filed with Companies House and a CT600 with HMRC.

UK VAT threshold

Mandatory UK VAT registration once UK-taxable turnover exceeds £90,000 over a rolling 12-month period. Most Egypt-based service exporters to non-UK clients stay well below and voluntarily choose whether to register.

Dividends to an Egyptian shareholder

No UK withholding tax on dividends paid to a non-UK shareholder. Egyptian personal tax on those dividends is governed by Egyptian tax law and the Egypt–UK double tax treaty. Confirm with your Egyptian accountant.

Egyptian reporting

Egyptian tax residents declare worldwide income on their annual Egyptian return. Under CRS, financial account information may be exchanged automatically between the UK and Egypt. A UK Ltd is transparent by design — treat it as such.

Can I register a UK Limited Company while living in Egypt?+

Yes. The UK Companies Act 2006 places no residency, nationality or immigration condition on directors, shareholders or PSCs. A resident of Cairo, Alexandria, Giza, Mansoura, Aswan or anywhere else in Egypt can incorporate, own 100% of the shares and act as sole director from home.

Do I need any approval from the Central Bank of Egypt (CBE) or GAFI to open a UK Ltd?+

No. Opening a UK Limited Company is not a foreign investment out of Egypt in the GAFI sense — you are simply becoming a director and shareholder of an entity registered in another jurisdiction. That said, if you plan to transfer meaningful capital out of Egypt to fund the UK Ltd, CBE rules on outward FX transfers apply as they normally would. In practice, most Egyptian founders capitalise the UK Ltd through revenue billed abroad, not by wiring EGP out of Egypt.

How do I actually receive USD, EUR or GBP into my UK Ltd from Egypt?+

The reliable stack for Egyptian directors is: a Payoneer business account and/or Wise Business as primary receiving accounts (both give the UK Ltd real GBP, USD and EUR account details), then a UK high-street bank once trading is visible. Revolut Business is also frequently used. Direct high-street onboarding for an Egypt-resident director on day one is uncommon — plan for the fintech stack first.

Will the CBE take a haircut on my dollars if I bring them from the UK Ltd to Egypt?+

Any USD transferred into the Egyptian banking system is subject to CBE rules at the time of receipt. Since the March 2024 devaluation the official rate has moved substantially, but converting into EGP through Egyptian banks always follows the official rate and the Egyptian bank's own FX policy. Many Egyptian founders keep working capital in the UK Ltd's GBP/USD accounts and only convert what they need to pay Egyptian operating costs.

Do I still need my Egyptian LLC if I open a UK Ltd?+

Usually yes. If you employ Egyptian staff, rent an office in Cairo, or serve Egyptian customers, an Egyptian LLC (شركة ذات مسؤولية محدودة) or sole proprietorship registered with GAFI and the ETA is what makes those activities legal in Egypt. A UK Ltd complements that; it does not replace it.

How am I taxed personally in Egypt on income from a UK Ltd?+

Egyptian tax residents (broadly, individuals present in Egypt more than 183 days) are subject to Egyptian personal income tax on worldwide income under Law 91/2005 and its amendments. Salary and dividends taken from a UK Ltd generally need to be declared in Egypt, subject to the Egypt–UK double tax treaty. We are UK-side advisors; confirm your specific position with an Egyptian tax advisor (محاسب ضرائب).

Do I need to travel to the UK?+

No. Formation, identity verification, banking preparation and post-incorporation compliance are entirely remote from Egypt. The vast majority of our Egyptian clients never set foot in the UK to run the entity.

Can I use my Egyptian bank statement as proof of address?+

Yes. A recent statement from CIB, Banque Misr, NBE, QNB Alahli, HSBC Egypt or another Egyptian bank issued within the last 3 months is a standard proof-of-address document, provided it clearly shows your full name and Egyptian residential address.

Will HMRC or Companies House share my data with the Egyptian tax authority?+

The UK is party to the OECD Common Reporting Standard (CRS) and to the Egypt–UK double tax treaty. Financial institutions holding accounts for Egyptian tax residents may report account balances and income to Egyptian authorities. Companies House itself is a fully public register — director and PSC information is public by design. There is no secrecy element to a UK Ltd; use it because it is efficient and credible, not because it is hidden.

How long does incorporation take for an Egyptian founder?+

Once Companies House ID verification is cleared, incorporation is generally same working day for Prestige and Elite clients. ID verification itself is usually completed within 24 hours. Total elapsed time from order to a live company is typically 1–3 working days.

Is a UK Ltd more expensive than an Egyptian LLC to keep running?+

For international activity, usually cheaper. An Egyptian LLC involves ongoing GAFI, ETA e-invoicing, social insurance and audited financials. A UK Ltd has an annual confirmation statement, annual accounts and Corporation Tax return — all filed remotely. Total annual UK compliance for a small company is typically far below the cost of maintaining a small Egyptian LLC with the same activity level.

Can Payoneer's UK account be used to pay Egyptian suppliers or staff?+

Payoneer supports outbound bank transfers to Egyptian banks in EGP within CBE limits. Many Egyptian founders use exactly this route: receive USD/EUR into the UK Ltd's Payoneer account, then send EGP to their Egyptian personal or business account to pay local costs. Rates and limits follow Payoneer's and the Egyptian receiving bank's policies at the time of transfer.
